Nanofilm Technologies - OCBC Investment Research 2025-07-07: Cautiously Optimistic For A Better FY26

• NanoFilm announced on 7 Jul 2025 that it will be acquiring 49m preference shares in Sydrogen from Venezio Investments (a subsidiary of Temasek Holdings) for a total consideration of S$15m.

Nanofilm to acquire remaining 35% stake in Sydrogenfrom Temasek.

• the acquisition of 32.7m shares on/before 30 Nov 2026 (second tranche).
• The acquisition will be funded from internal sources of funds; thereafter, NanoFilm will own 100% of issued shares in Sydrogen.
• On a pro forma basis, the proposed acquisition would have weighed on NanoFilm’s FY24 earnings per share (EPS) by 16.9% to 0.98 Singapore cents. Shareholders’ approval will be sought for the proposed acquisition at an extraordinary general meeting to be convened in due course.
